Terms of Service & Legal Agreement

1. Agreement and Binding Relationship

Welcome to the Dithebe Application Website. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Dithebe Technologies (Pty) Ltd ("Dithebe", "Company", "we", "us", "our"), a proprietary limited company incorporated in accordance with the laws of the Republic of Botswana.

By downloading, installing, accessing, or registering to use the Dithebe mobile application, website, or associated Application Programming Interfaces (APIs) (collectively, the "Platform" or the "App"), you confirm that you have read, understood, and agreed to be bound by these Terms, as well as our Privacy Policy.

If you do not agree to these Terms, you must immediately cease accessing or using the Dithebe Platform, delete the App from your device, and request the deletion of any registered account details.

2. Regulatory Compliance & Licensing Framework

Dithebe operates as a digital value transfer and mobile wallet platform. We cooperate with licensed Financial Institutions to facilitate the custody and transfer of value in Botswana Pula (BWP).

Our services are governed by the relevant financial laws of the Republic of Botswana, specifically including, but not limited to:

  • The National Payment System Act, 2020 (oversight and regulation of payment services).
  • The Bank of Botswana Act, 1995 and circulars issued by the Bank of Botswana regarding electronic payments.
  • The Financial Intelligence Act, 20 (anti-money laundering directives).
  • The Electronic Payments Services Regulations, 2016

You acknowledge that Dithebe is not a commercial bank. Balances held in your Dithebe digital wallet do not constitute banking deposits, do not earn interest, and are not protected by deposit insurance programs. All funds in your wallet represent digital value pre-funded and held in ring-fenced trust accounts at authorized commercial banks.

3. Identity Verification & Know Your Customer (KYC)

To activate and utilize the Dithebe Wallet, you must satisfy identity verification requirements. Registration requires a valid mobile cellular number registered under your name with an authorized mobile network operator in Botswana (Mascom, Orange, or Botswana Telecommunications Corporation).

Identity verification is conducted using your national identity card (Omang) for Botswana citizens, or a valid passport for foreign nationals residing in Botswana.

You warrant that all information you provide during registration and verification is accurate, current, and complete. Providing fraudulent identity documents constitutes fraud and a criminal offense, and will result in immediate termination of your account and referral to law enforcement authorities.

4. Wallet Usage, Limits, and Operational Rules

Upon successful verification, you are granted access to your Dithebe Wallet. You may receive value transfers from other Dithebe users, load value using authorized payment methods, hold value, and execute outbound transfers to other mobile numbers.

To mitigate financial risk and comply with regulatory limits, Dithebe implements a tiered daily transacting and balance limit system:

  • Activated Status (Basic Device Registered, Omang Image Submitted and successfully read): Maximum wallet capacity of P500.00. Outbound transactions are limited to P500.00 daily.
  • Confirmed Status (Omand details confirmed by human eye): Maximum wallet capacity of P1,000.00. Outbound transactions are limited to P1,000.00 daily.
  • Verified Status (Omand details and Holder verified by human eye): Maximum wallet capacity of P2,000.00. Outbound transactions are limited to P2,000.00 daily.

Transactions that exceed your current limit will be automatically rejected. Dithebe reserves the right to adjust these limits or introduce new transaction fee structures at any time, subject to providing notice through the Platform.

5. Device Binding, PIN Protection & Security

Your account safety depends on your personal security habits. The App uses advanced cryptographic signatures to lock your wallet profile to the specific physical hardware serial number of your mobile device (our Anti-Clone Protocol).

You agree to:

  • Keep your 6-digit PIN confidential. Never share your PIN with anyone, including Dithebe employees.
  • Use physical security locks (biometric lock or passcode) on your mobile device.
  • Notify Dithebe customer support immediately if your mobile device is lost, stolen, or cloned.

You acknowledge and agree that Dithebe is not liable for any losses resulting from unauthorized transactions or access caused by your failure to protect your PIN, device, or personal cellular SIM card (SIM-swap fraud).

6. Intellectual Property Protection

All legal rights, titles, and interests in the Platform, including but not limited to the software code, database structures, UI designs, icons, graphics, animations, branding, the name "Dithebe", logos, and documentation, are owned exclusively by Dithebe Technologies (Pty) Ltd and are protected under international copyright, trademark, patent, and trade secret laws, as well as the Industrial Property Act, 2010 and the Copyright and Neighboring Rights Act, 2000 of Botswana.

Any replication of the Dithebe Brand Identity system, design tokens, or logos (beyond the permitted guidelines specified in the Brand Identity Pack) without express written permission is a violation of law and will be prosecuted to the maximum extent permissible.

7. Data Privacy and Data Protection

Dithebe is committed to protecting your personal data. We collect personal identifiers (name, mobile number, Omang ID, phone serial number, IP address) and financial logs to operate the digital wallet.

By registering, you explicitly consent to the collection, processing, transmission, and storage of your personal data under the following parameters:

  • Data Controller: Dithebe Technologies (Pty) Ltd, with registered offices in Gaborone, Botswana.
  • Legal Basis: Data is collected to fulfill our legal obligations under the Financial Intelligence Act, 2025, and to execute the value transfers requested by you.
  • Sharing: We do not sell your data. We may share information with financial regulatory authorities, law enforcement agencies, or compliance verification databases in Botswana as required by law.

8. Disclaimer of Warranties and Limitation of Liability

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. DITHEBE MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE OPERATIONAL AVAILABILITY, UPTIME, SPEED, SECURITY, OR ERROR-FREE NATURE OF THE SERVICE.

Dithebe shall not be liable for any losses, costs, or damages arising from:

  • Interruption, delay, or failure of telecommunication networks, mobile network operators, electricity supplies, or third-party banking integration links.
  • Force majeure events, including acts of God, public health emergencies, fires, strikes, or civil disturbances.
  • Transactions sent to the wrong recipient number due to user input errors. (All P2P value transfers are instant and irreversible).
  • Unsanctioned access to your account prior to your formal report of a lost phone or compromised PIN.

9. Transaction Fees, Charges, and Reversals

Dithebe is designed as a low-cost digital wallet. Sending and receiving value between Dithebe accounts may be subject to transaction fees, which are clearly shown to the user on the transfer confirmation screen prior to typing the PIN code.

Fees will be automatically deducted from your wallet balance at the time of the transaction. You are responsible for ensuring your balance covers both the transaction amount and the associated fee.

Transaction Finality: All transfers sent to another mobile phone number on the Dithebe Platform are finalized immediately. Once a transaction is authorized by entering your 6-digit PIN, it cannot be canceled, reversed, or refunded. In the event that you transfer funds to an incorrect number, you must contact the recipient directly to request a return. Dithebe cannot force reversals of P2P transfers.

10. Suspension, Termination, and Dispute Resolution

Dithebe reserves the right, in its sole discretion and without liability, to suspend, freeze, or terminate your access to the Platform immediately if:

  • You breach any provision of these Terms.
  • We suspect your account is being used for fraudulent, illegal, or money laundering, Terrorist Financing (TF) or Proliferation Financing (PF) activities.
  • We receive law enforcement or regulatory instructions from the Financial Intelligence Agency (FIA), Bank of Botswana, or police authorities.
  • We detect hacking, security exploits, or API tampering.

In the event of non-fraudulent termination, any undisputed funds remaining in your wallet will be returned to you via bank transfer, subject to a deduction for administrative handling charges.

Governing Law and Dispute Escalation

These Terms shall be governed by and construed in accordance with the laws of the Republic of Botswana.

In accordance with the Consumer Protection Act, 2018, any complaint or dispute must first be submitted to Dithebe Customer Support (support@dithebe.co.bw) to attempt amicable resolution. If the dispute is not resolved within thirty (30) days, it shall be referred to and finaly settled by the courts of Gaborone, Botswana.
